Welcome to Green Model Limited Partnership. These Terms and Conditions ("Terms") govern your use of our website and the services we provide. By accessing our website or engaging our services, you agree to be bound by these Terms.

1. Definitions

In these Terms and Conditions:

  • "Company," "we," "our," or "us" refers to Green Model Limited Partnership
  • "Client," "you," or "your" refers to the person or entity engaging our services
  • "Services" refers to architecture model making, consulting, laser cutting, and related services
  • "Project" refers to any work commissioned by the Client
  • "Deliverables" refers to the completed architecture model or products

2. Services

2.1 Scope of Services

We provide professional architecture model making services including but not limited to:

  • Architecture scale models for various building types
  • Consulting and project support services
  • Laser cutting services for custom products
  • Model maintenance and repair services

2.2 Service Terms

All services are provided subject to availability and acceptance by the Company. We reserve the right to refuse service to any client for any lawful reason.

3. Quotations and Pricing

3.1 Quotations

All quotations are valid for 30 days from the date of issue unless otherwise specified. Quotations are based on the information provided by the Client and may be subject to revision if project requirements change.

3.2 Pricing

Prices are quoted in Thai Baht (THB) unless otherwise specified. All prices are subject to applicable taxes. We reserve the right to adjust pricing if there are significant changes in material costs or project scope.

3.3 Additional Costs

Unless otherwise agreed, quotations do not include:

  • Shipping and transportation costs
  • Installation services
  • Travel expenses for on-site work
  • Storage fees for extended periods

4. Payment Terms

4.1 Payment Schedule

Unless otherwise agreed in writing, payment terms are as follows:

  • 50% deposit upon acceptance of quotation
  • 50% balance upon completion before delivery

4.2 Payment Methods

We accept payment via bank transfer, cash, or other methods as agreed. Payment details will be provided with the quotation.

4.3 Late Payment

Late payments may incur interest charges at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend work or withhold delivery for overdue payments.

5. Project Timeline and Delivery

5.1 Timeline

Project timelines are estimates based on current workload and are subject to change. We will make reasonable efforts to meet agreed deadlines but cannot guarantee exact delivery dates unless explicitly stated in the contract.

5.2 Delays

We are not liable for delays caused by:

  • Client-requested changes or revisions
  • Delayed provision of information or materials by the Client
  • Force majeure events (natural disasters, pandemics, civil unrest, etc.)
  • Material or equipment shortages beyond our control

5.3 Delivery

Delivery or collection arrangements will be agreed upon before project completion. Risk of loss or damage passes to the Client upon delivery or collection.

6. Client Responsibilities

6.1 Information and Materials

The Client is responsible for providing:

  • Accurate and complete project specifications
  • Necessary drawings, plans, and reference materials
  • Timely feedback and approvals
  • Access to sites if required for measurements or installation

6.2 Approvals

The Client must review and approve design proposals, material selections, and progress samples within the agreed timeframe. Failure to provide timely approval may result in project delays.

7. Revisions and Changes

7.1 Design Revisions

Minor revisions during the design phase are included in the quoted price. Significant design changes or additional revisions after approval may incur additional charges.

7.2 Change Orders

Any changes to the approved project scope must be submitted in writing. We will provide a revised quotation for approval before proceeding with changes.

8. Intellectual Property

8.1 Client Materials

The Client retains all rights to materials provided to us, including architectural drawings and designs. We will use these materials solely for the purpose of completing the commissioned project.

8.2 Work Product

Upon full payment, the Client receives ownership of the physical model. We retain the right to photograph and display completed projects in our portfolio, website, and marketing materials unless otherwise agreed in writing.

9. Quality and Warranties

9.1 Quality Standards

We are committed to delivering high-quality work using professional craftsmanship and appropriate materials. All models are subject to our quality control procedures before delivery.

9.2 Warranty

We warrant that completed models will be free from material defects in workmanship for a period of 30 days from delivery. This warranty does not cover:

  • Normal wear and tear
  • Damage from mishandling, accidents, or improper storage
  • Modifications made by parties other than us
  • Damage from environmental factors (extreme temperatures, moisture, sunlight)

9.3 Warranty Remedy

Our sole obligation under this warranty is to repair or replace defective components at our discretion. This warranty is in lieu of all other warranties, express or implied.

10. Limitation of Liability

10.1 Liability Cap

Our total liability for any claims arising from our services shall not exceed the total amount paid by the Client for the specific project giving rise to the claim.

10.2 Excluded Damages

We shall not be liable for any indirect, incidental, consequential, or special damages, including but not limited to loss of profits, business interruption, or loss of data.

10.3 Transportation and Installation

We are not liable for damage occurring during transportation arranged by the Client or during installation unless we have specifically agreed to provide these services.

11. Cancellation and Termination

11.1 Client Cancellation

If the Client cancels a project after work has commenced:

  • The deposit is non-refundable
  • The Client will be charged for all work completed to the date of cancellation
  • The Client may be charged for materials purchased specifically for the project

11.2 Company Termination

We reserve the right to terminate a project if:

  • The Client fails to make payments as agreed
  • The Client fails to provide necessary information or approvals
  • Circumstances make project completion impractical or impossible

12. Confidentiality

We will maintain confidentiality of proprietary information provided by the Client. However, we cannot guarantee confidentiality for information that:

  • Is or becomes publicly available through no fault of ours
  • Is already in our possession without obligation of confidentiality
  • Must be disclosed by legal requirement

13. Force Majeure

We shall not be liable for failure to perform our obligations due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, government actions, pandemics, or utility failures.

14. Dispute Resolution

14.1 Negotiation

In the event of any dispute, both parties agree to first attempt to resolve the matter through good faith negotiation.

14.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Thailand. Any disputes shall be subject to the exclusive jurisdiction of the courts of Thailand.

15. General Provisions

15.1 Entire Agreement

These Terms, together with any written quotation or contract, constitute the entire agreement between the parties and supersede all prior discussions and agreements.

15.2 Amendments

We reserve the right to modify these Terms at any time. Changes will be posted on our website with an updated revision date. Continued use of our services constitutes acceptance of the modified Terms.

15.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

15.4 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
